1. Eligibility and Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must provide accurate information and keep your account details current.

2. Use of the Services

You agree not to misuse the Services. You must not, for example:

• Use the Services for unlawful, fraudulent, or deceptive activity.
• Interfere with or disrupt system integrity, security, or performance.
• Attempt to gain unauthorized access to systems, data, or other accounts.
• Copy, reverse engineer, or create derivative works except as permitted by law.

3. Customer Content

You retain ownership of content you submit to the Services ("Customer Content"). You grant AppPanda a limited license to host, process, transmit, and display Customer Content solely as needed to provide and improve the Services.

4. Fees and Billing

• Paid features may require a subscription or one-time payment.
• You authorize us and our payment processor to charge applicable fees and taxes.
• Unless stated otherwise, fees are non-refundable except where required by law.
• We may change pricing with reasonable advance notice for future billing periods.

5. Intellectual Property

The Services, including software, design, trademarks, and related materials, are owned by AppPanda or its licensors and are protected by intellectual property laws. Except as expressly permitted, no rights are granted to you by implication or otherwise.

6. Third-Party Services

The Services may integrate with or link to third-party platforms and providers. AppPanda is not responsible for third-party services, and your use of them is subject to their terms and policies.

7. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or harm, or where required for legal or security reasons.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, AppPanda disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, AppPanda will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our total liability for all claims relating to the Services will not exceed the amounts paid by you to AppPanda in the 12 months preceding the event giving rise to liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless AppPanda and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, and expenses arising from your use of the Services, Customer Content, or violation of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and provide notice where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
